Terms and Conditions for OEM Apparel Buyers
Acceptance of Terms
These Terms and Conditions govern access to the EDVORIN website and all discussions, quotations, product-development, OEM, ODM and private-label apparel manufacturing services provided by EDVORIN. By using the website, submitting an inquiry, sending materials, requesting a sample, approving a quotation, or placing an order, the buyer confirms acceptance of these Terms and Conditions. Where a separately signed manufacturing agreement, purchase order, quotation, pro forma invoice, or written order confirmation applies, that document governs to the extent of any direct conflict. Business Services
EDVORIN is a founder-led B2B apparel manufacturing partner established in 2000 for fashion brands, streetwear labels, sports organizations, schools, wholesalers, distributors, and private-label buyers. Services include OEM, ODM, and private-label product development; material and trim coordination; pattern work; sampling; custom apparel printing; custom apparel embroidery; garment wash services; bulk production; quality control; custom clothing labels and packaging; and shipping preparation. Casualwear, streetwear, outerwear, and teamwear are coordinated under one production system, with men’s and women’s development available across every listed product category. Availability, specifications, production capacity, timing, and scope are confirmed on an order-by-order basis. Product images, descriptions, samples, technical discussions, and website content are for general reference unless incorporated into an approved written specification. EDVORIN may decline a request that is technically unsuitable, unlawful, unsafe, unavailable, or inconsistent with its production requirements.
Quotes and Order Confirmation
A quotation, estimate, product discussion, or sample request does not create a binding production commitment. An order becomes binding only when EDVORIN issues written confirmation, a pro forma invoice, or another written acceptance identifying the agreed product, quantities, price, payment terms, specifications, delivery terms, and other applicable conditions. MOQ starts at 200 pieces per style, subject to the product, materials, decoration, colorways, size breakdown, and confirmed order requirements. Buyers must review all order documents promptly and notify EDVORIN in writing of any discrepancy before production begins. Changes requested after confirmation may require revised pricing, lead time, sampling, minimum quantities, or written reapproval.
Product Specifications and Technical Files
The buyer is responsible for providing complete, accurate, and lawful product information, including tech packs, measurement charts, artwork, color references, logos, labels, packaging instructions, reference samples, quantity breakdowns, and performance requirements where applicable. EDVORIN may identify missing specifications and recommend development steps, but the buyer remains responsible for reviewing and approving the final production standard. Measurements, colors, materials, decoration placement, trims, labels, and packaging must be confirmed in writing before bulk production. EDVORIN is not responsible for delays, costs, defects, or inconsistencies arising from incomplete, inaccurate, late, or conflicting buyer instructions. Any revision to approved files must be communicated in writing and accepted by EDVORIN.
Sampling and Approval
Samples are developed to evaluate construction, fit, fabric, color, decoration, wash, trims, and other relevant details before bulk production. Sample fees, revision limits, delivery arrangements, ownership, and approval requirements are confirmed in the applicable written quotation or order document. A sample is not an automatic authorization for bulk production. The buyer must provide clear written approval of the applicable sample, specifications, and any revisions before EDVORIN proceeds. If the buyer requests bulk production without a fully approved sample, the buyer accepts the resulting production risk. Minor variations inherent in materials, washing, dyeing, decoration, and manufacturing may occur within agreed or commercially reasonable tolerances.
Pricing and Payment
Prices are valid only for the period, quantity, specifications, materials, decoration methods, packaging, currency, and trade terms stated in the applicable written quotation or pro forma invoice. Pricing may change when these inputs change, including supplier costs, material availability, artwork complexity, order quantity, approved revisions, shipping requirements, taxes, duties, or exchange conditions. Payment terms, deposit requirements, balance timing, accepted payment methods, bank charges, late-payment consequences, and refund conditions are confirmed in the applicable order document. EDVORIN may suspend development, sampling, production, release of goods, or shipping preparation until required payments have cleared. The buyer is responsible for providing correct invoicing and payment information.
Production and Lead Times
Production schedules begin only after EDVORIN has received the agreed approvals, confirmed specifications, required materials information, and any required payment. Any lead time provided is an estimate unless a written agreement expressly states otherwise. Lead times can be affected by sample revisions, buyer approval delays, material or trim availability, decoration complexity, capacity, quality-control findings, transport disruption, events outside reasonable control, and changes requested by the buyer. EDVORIN will use commercially reasonable efforts to communicate material scheduling changes. The buyer acknowledges that bulk production must follow the approved standard and may require reasonable in-line control, rework, or replacement activity before packing. EDVORIN is not liable for delays caused by buyer action or external circumstances.
Shipping, Delivery and Risk
Shipping methods, delivery terms, freight charges, insurance, export documentation, destination requirements, customs responsibilities, and transfer of risk are specified in the applicable quotation, pro forma invoice, purchase order, or written shipping instruction. EDVORIN prepares finished goods for shipping in accordance with the confirmed order requirements but does not guarantee carrier schedules, customs clearance, port availability, or delivery performance outside its reasonable control. The buyer must provide accurate consignee, address, contact, labeling, and import information. The buyer is responsible for duties, taxes, import licenses, customs compliance, and destination-country requirements unless otherwise agreed in writing. Any shipment shortage, visible damage, or delivery issue must be reported promptly with supporting records and photographs.
Intellectual Property
The buyer retains ownership of its trademarks, logos, artwork, designs, technical files, and other materials supplied to EDVORIN, subject to the limited right for EDVORIN to use those materials solely to quote, develop, sample, manufacture, inspect, pack, and ship the buyer’s order. The buyer represents that it has all necessary rights, licenses, permissions, and approvals for supplied materials and requested products. EDVORIN retains ownership of its pre-existing know-how, manufacturing methods, internal documents, patterns, processes, templates, supplier information, and website content, unless a written agreement states otherwise. EDVORIN may refuse instructions that appear to infringe intellectual-property rights or violate applicable law.
Acceptable Use and Buyer Conduct
Buyers must use the EDVORIN website, communications channels, and manufacturing services lawfully, professionally, and in good faith. Buyers must not submit unlawful, misleading, defamatory, harmful, infringing, or technically unsafe materials; interfere with website security; misrepresent authority to place an order; or use EDVORIN information to solicit its suppliers, employees, or customers without written permission. EDVORIN may suspend communications, decline work, or cancel unconfirmed requests where conduct creates legal, operational, security, or reputational risk. The buyer remains responsible for all information and instructions sent by its authorized representatives and must promptly notify EDVORIN of any unauthorized use or material error.
- Do not provide artwork or files without the required rights or approvals.
- Do not request counterfeit, unlawful, or deceptive products.
- Do not access, copy, disrupt, or misuse EDVORIN systems or confidential production information.
- Do not issue conflicting instructions without written clarification and acceptance.
Quality, Inspection and Claims
EDVORIN organizes production and final inspection around the approved sample, confirmed specifications, and applicable order requirements. The buyer must review the sample and order documents carefully because approved standards guide bulk production. Unless a written agreement states otherwise, quality tolerances, inspection method, permitted variance, claim period, remedy procedure, and treatment of excess or short quantities are stated in the applicable order documents. The buyer must notify EDVORIN in writing of a substantiated non-conformity promptly after discovery and provide order details, photographs, quantities affected, and reasonable access to relevant evidence. EDVORIN must be given a reasonable opportunity to investigate and, where appropriate, determine a remedy. Claims do not authorize chargebacks, disposal, return, or third-party rework without written authorization.
Cancellations, Changes and Returns
Because apparel development and manufacturing may involve ordered materials, trims, patterns, samples, decoration setup, labor allocation, and customized labels or packaging, cancellations and changes can create non-recoverable costs. A buyer may request a cancellation or change in writing, but it is effective only if EDVORIN accepts it in writing. The buyer is responsible for costs, commitments, work completed, and materials already ordered or processed up to the effective date, as determined under the applicable order documents. Customized goods are not returnable unless EDVORIN confirms a verified non-conformity and authorizes the return in writing. Cancellation fees, return procedures, credit treatment, and disposal or storage arrangements are confirmed in the applicable order documents unless otherwise agreed.
Disclaimers and Limitation of Liability
To the fullest extent permitted by applicable law, EDVORIN’s services, website content, estimates, and production guidance are provided subject to the confirmed written order requirements and without warranties not expressly stated in those requirements. EDVORIN does not guarantee uninterrupted website access, third-party carrier performance, customs clearance, buyer sales results, resale suitability, or outcomes arising from incomplete buyer instructions. EDVORIN will not be liable for indirect, incidental, special, consequential, punitive, or lost-profit damages arising from these Terms and Conditions or an order. Any aggregate liability cap, exclusions, and exceptions are set out in a separately signed agreement or apply as required by mandatory law. Nothing in these terms excludes liability that cannot legally be excluded.
Indemnity, Governing Law and Contact
The buyer will indemnify and hold EDVORIN harmless from third-party claims, losses, liabilities, costs, and reasonable expenses arising from buyer-supplied artwork, trademarks, designs, instructions, product claims, import obligations, or breach of these Terms and Conditions, except to the extent caused by EDVORIN’s own breach or misconduct. Governing law and the dispute-resolution forum are stated in the applicable written order terms. Before commencing formal proceedings, the parties should attempt to resolve disputes through good-faith written discussion. EDVORIN may update these Terms and Conditions by posting a revised version; confirmed orders remain subject to the terms accepted for that order unless otherwise agreed.
